Ecommerce Services Terms and Conditions

Shopify eCommerce Services
- Internationalization Services: Passport will create and maintain the following services in Company’s Shopify, or other third-party ecommerce platform, store:
- Localized Storefront:
- Passport will localize the Company’s Shopify storefront for its top 10 regions, utilizing the capabilities provided by and subject to the limitations of Shopify Markets.
- Passport will deploy an IP address based detection service that will display the consumer content and prices based on their region.
- Passport will create domain sub folders for each region including SEO optimization for each region. This is an optional capability at the discretion of Company.
- Localized Storefront pricing:
- Product prices will be displayed in the shopper’s local currency based on the IP address detection of the shopper’s location.
- Prices displayed in local currencies will include a Shopify 1.5% currency conversion fee (embedded into local currency Product price) which will be withheld by Shopify from the Company’s order payout from Shopify.
- Local price optimization:
- Passport will apply region based price adjustments to Company’s catalog based on Product category and country of destination. This includes the option to include taxes and duties, and shipping cost estimates, within Product prices for select regions.
- Local payment options:
- Each Localized Storefront will utilize Shopify Payments in order to enable the localization services.
- Each Localized Storefront will have international and local payment methods available to consumers including but not limited to Shop pay, Shopify Payments credit card payments, Apple Pay, Google Pay, iDEAL, Bancontact, etc. A full list is provided here.
- Company will pay a separate payment gateway fee to Shopify directly which is dependent on the negotiated rates between Company and Shopify.
- A/B testing:
- Passport will assist and advise Company in “a/b” testing their international experience including Product pricing and shipping costs to optimize order conversion.
- Passport will provide this service for up to sixty (60) days after the Go-Live Date.
- Based on the type and duration of the tests there may be additional costs to run such tests, which Passport will disclose, and Company will approve, prior to performing any additional testing.
- Company agrees to the use of third party applications (specifically Intelligems) with Localized Storefronts for purposes for conducting the a/b testing.
- Company agrees to provide Passport access to any and all applicable applications so that Passport can configure and run these a/b tests.
- Localized Storefront:
- Duty/Tax Landed Cost Pricing: Passport shall provide landed cost calculations on rate and label requests for the destination country and, if requested by Company during configuration, present these calculations as part of the checkout experience in Localized Storefronts. This calculation is based on the existing knowledge of customs clearance processes and relies on the accuracy of the information provided by the Company. Where accurate Data regarding the Products to be imported is provided by Company to Passport, Passport shall provide accurate import duty and tax calculations. If Company’s Data is incomplete or inaccurate, Passport shall not be liable for any discrepancies in import duty or tax calculations and reserves the right to bill accurate charges that vary from checkout. Passport shall perform all reasonable actions to ensure that import duty and tax rates are kept up to date for all destination countries.
- Company’s obligations:
- Company shall provide accurate Data regarding the Products being shipped to receive accurate landed cost calculations. This includes but is not limited to:
- Item description;
- Item SKU;
- HS Code;
- Country of Origin;
- Quantity; and
- Item value.
- Company shall provide accurate Data regarding the Products being shipped to receive accurate landed cost calculations. This includes but is not limited to:
- Company’s obligations:
- Product and Financial Compliance Support: Passport will assist support Company with its Product and financial compliance requirements and provide related financial support services, which includes the following:
- Product and Financial Compliance Support: Passport will conduct compliance reviews of Products for primary and secondary target markets.
- Company obligations:
- Company shall provide accurate information in advance regarding the catalog so that Passport can review and advise on compliance regulations. This includes but is not limited to:
- Detailed Item description including the ingredients, materials and components that make up each Product;
- Item SKU;
- iii. HS Code;
- Country of Origin;
- Item Value; and
- MSDS details.
- Company will timely review and approve the necessary changes made to Company’s Shopify storefront to deploy these capabilities.
- In order to ensure ongoing compliance, Company will provide a minimum of forty-eight (48) hours advance notification on new SKUs prior to launch.
- Company is responsible for ensuring accurate COO and product values
- Company shall provide accurate information in advance regarding the catalog so that Passport can review and advise on compliance regulations. This includes but is not limited to:
- Passport will advise on shipping dangerous Products, perform bundle reviews, identify incompatible Products and prohibited or restricted Products by key markets.
- Passport will review and advise on HS Code Classification for the Company’s catalog with HS6.
- At the request of Company, Passport can conduct a product ingredient review for five unique products for the Canada, United Kingdom, European Union, and Australia markets.
- Passport will take reasonable measures to exclude Products from selling into countries where they are prohibited or have customs restrictions by doing a restrictions check at the time of onboarding
- Company obligations:
- Product and Financial Compliance Support: Passport will conduct compliance reviews of Products for primary and secondary target markets.
Other eCommerce Services
Description of Services & Capabilities. Passport agrees to provide the services described below in exchange for the eCommerce Service Fee:
- Internationalization Services: Passport will provide and maintain the following services for Company to use in its Localized Storefront:
- Storefront Localization:
- Passport will offer a geolocation toolkit for use by Company in its Localized Storefront.
- Passport will deploy an IP address based detection service that will display the consumer content and prices based on their region.
- Localized Storefront pricing:
- Passport will provide a pricing localization API so that Product prices will be displayed in the shopper’s local currency based on the IP address detection of the shopper’s location.
- Passport will support a variety of currency localization custom rules such as fixed conversion rates, region specific rounding rules and vanity pricing.
- Local price optimization:
- Passport will apply region based price adjustments to Company’s catalog based on Product category and country of destination. This includes the option to include taxes and duties, and shipping cost estimates, within Product prices for select regions.
- International Payment Gateway:
- Company will work with payment processors of their choice to accept international payments and all payment processing and currency conversion costs for international transactions will be managed between Company and their chosen payment processors.
- A/B testing:
- Passport will assist and advise Company in “a/b” testing their international experience including Product pricing and shipping costs to optimize order conversion.
- Passport will provide this service for up to sixty (60) days after the Go-Live Date.
