6. YOUR ACCOUNT INFORMATION

7. WHAT YOU MAY NOT DO ON THE SITE
You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us or for which the Site is offered. Specifically, you may not use the Site:
- For the purpose of harming or attempting to harm minors in any way including in any way that involves child sexual exploitation or abuse.
- To bully, insult, intimidate or humiliate any person.
- To send, knowingly receive, upload, download, use or re-use any material which does not comply with our content standards.
- To upload any terrorist content.
- To collect, use, or disclose personal information of other users without their explicit consent.

- To make fraudulent orders.
You also acknowledge and agree that you may not:

- Copy or adapt the Site’s software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.
- Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party’s uninterrupted use and enjoyment of the Site or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Site.
- Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats (“gifs”), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as “spyware” or “passive collection mechanisms” or “pcms”).
- Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Site, or using or launching any unauthorized script or other software.
- Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Site.
- Use the Site in a manner inconsistent with any applicable laws or regulations.
- Make fraudulent orders.
- Sell or otherwise transfer your profile.
- Use a buying agent or purchasing agent to make purchases through the Site.
8. UPLOADING YOUR CONTENT TO THE SITE, INCLUDING REVIEWS
We may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Site, including but not limited to text, writings, video, audio, photographs, graphics, comments, reviews or personal information or other material (collectively Contributions).
In connection with these Contributions, we are merely the hosting provider and shall not be held responsible or liable for the content of the Contributions itself. You are solely responsible for securing and backing up your content. By submitting suggestions or other feedback regarding the Site, you agree that we can use and share such feedback for any purpose without compensation to you.
When you provide Contributions:
a) You understand that personal information contained in your Contributions will be collected, used, and disclosed as described in our Privacy Policy.
b) You are solely responsible for any personal information about others that you disclose in your Contributions.
c) You should not include sensitive personal information in your Contributions.
d) You grant us the rights described in Section 9 of these Terms.
We may remove any Contribution that we believe violates these Terms.

Contributions may be viewable by other users of the Site and through third-party websites.
Any Contribution made to the Site will be considered non-confidential and non-proprietary and we may use any information including personal data that you provide us following the terms of our Privacy Policy and your choices (including settings). You will retain ownership of any rights you may have in such Contributions, but you are required to grant us a limited license to use, store and copy the content of your Contribution and to distribute and make it available to third parties.
We also have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to the Site constitutes a violation of their intellectual property rights or of their right to privacy.
We are not liable for any statements or representations in your Contributions provided by you in any area on the Site.
We have the right, but not the obligation, to remove any posting you make on the Site if, in our opinion, your post does not comply with the content standards set out in these Terms or the Privacy Policy.

9. RIGHTS YOU GIVE TO US TO USE CONTENT YOU UPLOAD
When you upload or post Contributions to the Site, you grant us a worldwide, non-exclusive, royalty-free, transferable licence to:
- use,
- reproduce,
- distribute,
- prepare derivative works of,
- display, and
- perform
that user-generated content in connection with the service provided by the Site and across different media, to expire when you delete the content from the Site.
10. DISCLAIMER OF WARRANTY
YOU USE THE SITE AT YOUR SOLE RISK (INCLUDING BUT NOT LIMITED TO ANY DAMAGE TO YOUR COMPUTER SYSTEM, LOSS OF DATA, DAMAGE RESULTING ON RELIANCE ON INFORMATION FROM US, OR OTHER DAMAGES THAT RESULT FROM OBTAINING ANY CONTENT FROM THE WEBSITE, INCLUDING COMPUTER VIRUSES) EVEN IF WE HAVE BEEN ADVISED OF OR ARE AWARE OF THE RISK OF SUCH DAMAGE.
TO THE EXTENT PERMITTED BY LAW, WE PROVIDE THE WEBSITE, THE SITE, THE CONTENT, AND THE INFORMATION “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS,” WITHOUT WARRANTY OF ANY KIND, AND EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, WE SPECIFICALLY DISCLAIM ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.
NO INFORMATION OR ADVICE PROVIDED ON OUR SITE, BY US, OR BY OUR EMPLOYEES OR AGENTS SHALL CREATE ANY WARRANTY.
11. SERVICES MANAGEMENT
We reserve the right, but not the obligation, to: (1) monitor the Site for violations of these Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates an applicable law or regulation or these Terms, including without limitation, reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof; (4) in our sole discretion and without limitation, notice, or liability, to remove from the Site or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Site in a manner designed to protect our rights and property and to facilitate the proper functioning of the Site and the products we offer via the Site.

13. CLASS ACTION WAIVER
BY USING THE SITE, YOU ACKNOWLEDGE THAT WE ARE OFFERING THE SITE UNDER THE TERMS PRESENTED HEREIN. AS PARTIAL CONSIDERATION FOR YOUR USE OF THE SITE, YOU AGREE THAT YOU MAY BRING A CLAIM AGAINST US REGARDING YOUR USE OF THE SITE ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A CLASS PLAINTIFF, CLASS REPRESENTATIVE, CLASS MEMBER, OR AN ADVERSE PARTY IN ANY WAY IN A CLASS-ACTION LAWSUIT, CLASS-WIDE ARBITRATION, OR OTHER PROCEEDING WHERE AN INDIVIDUAL ACTS IN A REPRESENTATIVE CAPACITY. ADDITIONALLY, YOU ACKNOWLEDGE THAT PART OF THE PRICE YOU ARE PAYING TO USE THE SITE IS YOUR ACCEPTANCE OF THESE TERMS OF USE, INCLUDING THIS CLASS ACTION WAIVER. IF YOU DO NOT AGREE TO ANY PART OF THESE TERMS, YOU SHOULD NOT CONTINUE YOUR USE OF THE SITE. NOTHING IN THIS PARAGRAPH, HOWEVER, LIMITS YOUR RIGHTS TO BRING A LAWSUIT AS AN INDIVIDUAL PLAINTIFF, INCLUDING IN SMALL CLAIMS COURT, SUBJECT TO SECTION 15 BELOW.
14. OPERATION OF THE SITE AND TERMINATION
These Terms shall remain in effect while you use the Site. We reserve the right to do any of the following, at any time, at our sole discretion, with or without notice: (i) modify, suspend, or terminate operation of or your access to the Site, or any portion of the Site, or the agreement between you and us under these Terms, for any reason including but not limited to for your violation of these Terms; (ii) modify or change the Site, or any portion of the Site; (iii) interrupt the regular operation of the Site, or any portion of the Site, as necessary to perform routine or nonroutine maintenance, to correct errors, or to make other changes to the Site required for, inter alia, changes to the technical environment or functionalities, changes in the number of users or improvements to the Site.
If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.
15. OUR RESPONSIBILITY TO YOU IF YOU SUFFER LOSS OR DAMAGE
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOOD-WILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS
OR USE THE SITE; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE, INCLUDING, WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (iii) ANY CONTENT OBTAINED FROM THE SITE; OR (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOURTRANSMISSIONS, CONTRIBUTIONS, OR ACCOUNT.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE LESSER OF ONE HUNDRED U.S. DOLLARS (U.S. $100.00) OR THE AMOUNT YOU PAID US, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM. THE LIMITATIONS OF THIS SUBSECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
16. AI CHATBOT TERMS
While we use reasonable efforts to include accurate and current information for our AI-powered chatbot (“Chatbot”), we do not warrant or represent that the Chatbot will be error-free. Data entry errors or other technical problems may sometimes result in inaccurate information being shown. Our Chatbot is provided by ForeThought Technologies, Inc. or one of its affiliates (“ForeThought”).
You may from time to time provide us with suggestions, ideas or other feedback regarding the Chatbot (“Feedback”). Both parties agree that we shall own such Feedback and are entitled, but not obligated, to use, develop and exploit it in any manner, without restriction or duty to compensate or seek permission from you. We may use the Feedback to coach the Chatbot.
Session logs are retained indefinitely following the completion of your session and may be used for Chatbot training. Customer service representatives may access the session log in order to provide you additional assistance. If you would like for your session log to be deleted, please contact ForeThought. 17. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless us, our officers, directors, employees, agents, licensors, and suppliers, from and against any claims, actions or demands, liabilities and settlements including without limitation, reasonable legal and related fees and expenses, resulting from, or alleged to result from, your violation of these Terms, the incorporated policies, or your use of the Site.
We reserve the right to assume exclusive control of our defense in any matter subject to your indemnification, which shall not excuse your obligation to indemnify us. You shall not settle any dispute subject to your indemnification under these Terms without written consent from us.
18. CHOICE OF LAW
These Terms are governed by, and construed in accordance with, the laws of the State of Delaware, United States of America, without regard to the conflict of laws provisions thereof and excluding the 1980 U.N. Convention on Contracts for the International Sale of Goods.
19. ARBITRATION
Any action, proceeding, controversy, dispute, or claim arising out of or relating to these Terms—including but not limited to its breach, enforcement, arbitrability, or interpretation—shall be submitted to JAMS for final and binding arbitration to be held in Silicon Valley, California, before a single arbitrator. The arbitration shall be a confidential proceeding, closed to the general public.
The arbitrator shall be selected by our mutual agreement. If we are unable to agree on an arbitrator within thirty (30) days following the demand for arbitration, each of you and us shall select one arbitrator, and those two arbitrators shall confer and jointly select a neutral third arbitrator, who shall serve as the sole arbitrator for the matter.
The arbitrator shall issue a written opinion stating the essential findings and conclusions on which the award is based. The party initiating arbitration shall bear all filing, administrative, and arbitrator fees, except to the extent that such allocation would render this clause unenforceable under applicable law. Each party shall otherwise bear its own costs and expenses, including deposition, witness, expert, and outside attorneys’ fees, unless otherwise provided in this paragraph.
The arbitrator shall have the authority to award the prevailing party, as determined by the arbitrator, reimbursement of its reasonable attorneys’ fees, costs, and expenses, including any filing, administrative, and arbitrator fees that the prevailing party initially bore. Nothing in this clause shall limit our right to seek injunctive or other equitable relief in a court of competent jurisdiction at any time.
